出卖人：合同编号：11
买受人：签订地点：
第一条：标的名称、型号、生产厂家、数量、金额：签订时间：2007年 9月21 日 第二条：质量标准：按双方所签订的技术协议为质量标准。
第三条：出卖人对质量负责的条件及期限：对非人为因素所造成的故障自验收合格日起保修12个月。
第四条：交（提）货时间及数量：自合同生效日起60日内到达买受人处。第五条：交（提）货方式及地点：出卖人负责将模具运至买受人所在地。
第六条：标的物合理损耗标准及计算方法：无第七条：包装方式、包装物的供应与回收：出卖人简易包装，不回收。
第八条：检验方式及检验时间：在模具运达买受人所在地的10日内，按双方所签订的技术协议为质量标准对模具进行检验。
第八条：买受人就检验结果提出异议的期限：在模具运达买受人所在地的20日内。
第九条：结算地点、方式及时间：本合同签订、生效2日内买受人支付给出卖人预付款￥，模具制造完毕在出卖人所在地验收合格之日起7日内买受人支付给出卖人￥，其余模具款于模具验收合格之日起3个月内买受人一次性支付给出卖人。
第十条：本合同如需提供担保，可另立担保合同，作为本合同附件；双方约定担保条款如下：无第十一条：违约责任：按《合同法》执行。
第十二条：争议解决方式：本合同发生争议时，由双方协商解决，也可由工商行政管理部门调解。协商或调解不成的，可向仲裁委员会申请仲裁（当事人未在本合同中约定仲裁机构，事后又未达成书面仲裁协议的，可向人民法院起诉）。双方本着互惠互利的原则协商解决；协商不成时，由买受人所在地仲裁机构仲裁或向买受人所在地人民法院起诉。第十三条：双方约定本合同生效、变更、解除的条件：本合同经双方签字盖章之日起生效；未经双方共同协商达成一致，不得变更、解除。
第十四条：双方约定的其它事项：本设备由出卖人提供唐山松下ym-500kr2、送丝机和co2加热器各两套。双方签订的技术协议为本合同附件。
